Terms of Business of Gold Atlantic Limited
1. INTRODUCTION
These Terms of Business (“Terms”) set out the basis upon which Gold Atlantic Limited (“we”, “us”, “our”) provides services to its clients (“you”, “your”).
By engaging our services, you agree to be bound by these Terms.
2. OUR SERVICES
Gold Atlantic Limited provides:

Property advisory services
-
Introducer services in relation to property transactions

Property management coordination services
We act as an intermediary and coordinator between clients and third parties including, but not limited to, developers, landlords, tenants, contractors, and managing agents.
3. NATURE OF OUR ROLE
We operate on an advisory and coordination basis only.
We do not act as:

A principal in any property transaction
-
A financial advisor
-
A legal advisor
-
A tax advisor
You must seek independent professional advice where appropriate.
4. NO CLIENT MONEY
Gold Atlantic Limited does not hold, receive, or control client money.
All payments including:

Property purchase funds
-
Reservation fees
-
Rental payments
-
Tenancy deposits
are made directly between you and the relevant third parties.
We do not operate a client account and do not provide Client Money Protection (CMP).
5. FEES AND COMMISSIONS
We may receive:

Advisory fees
-
Property management fees
-
Introduction fees or commissions from third parties
Where applicable:

Fees may be agreed directly with you
-
Commissions may be received from developers or other parties
Any such arrangements do not affect the price you pay unless explicitly stated.
6. INTRODUCTIONS AND THIRD PARTIES
We may introduce you to:

Developers
-
Landlords
-
Tenants
-
Contractors
-
Professional advisors
While we take reasonable care in selecting such parties, we:

Do not control their actions
-
Do not guarantee their performance
-
Are not responsible for their services
Any agreement entered into with third parties is solely between you and that party.
7. PROPERTY INFORMATION
All property-related information is provided for guidance purposes only.
We do not guarantee:

Accuracy of information provided by third parties
-
Investment performance
-
Capital growth
-
Rental income
You are responsible for carrying out your own due diligence.
8. PROPERTY MANAGEMENT SERVICES
Where property management services are provided:

We coordinate tenant sourcing, referencing, and onboarding

We assist with tenancy setup and documentation
-
We coordinate maintenance and repair works
-
We manage communication between landlord and tenant
However:

We do not collect or hold rent
-
We do not hold tenancy deposits
-
Financial control remains with the landlord
9. MAINTENANCE AND CONTRACTORS
We may:

Arrange contractors on your behalf

Coordinate works
-
Monitor completion
However:

Contractors act independently
-
We are not liable for workmanship or performance
-
Any contractual relationship is between you and the contractor
10. LIABILITY
We will provide our services with reasonable care and skill.
However, to the fullest extent permitted by law, Gold Atlantic Limited shall not be liable for:

Losses arising from third-party actions

Financial losses related to property transactions
-
Investment decisions made by clients
-
Delays or failures outside our control
Nothing in these Terms limits liability where it cannot legally be excluded.
11. LIMITATION OF LIABILITY
Our total liability, where applicable, shall be limited to the amount of fees paid to us in relation to the specific service giving rise to the claim.
We shall not be liable for:

Indirect or consequential losses

Loss of profit
-
Loss of opportunity
12. CONFLICTS OF INTEREST
We may act for multiple clients and maintain relationships with developers and third parties.
Where a conflict arises, we will take reasonable steps to manage it appropriately.
13. CONFIDENTIALITY
We will treat your information as confidential and only share it where necessary:

To provide our services

To comply with legal obligations
14. DATA PROTECTION
We process personal data in accordance with our Privacy Policy.
15. TERMINATION
We may terminate our relationship with you at any time.
You may also terminate our services by providing written notice.
Termination does not affect:

Fees already due
-
Rights accrued prior to termination
16. COMPLAINTS
We operate a formal Complaints Handling Procedure.

We shall not be liable for failure to perform obligations due to events beyond our reasonable control, including but not limited to:

Acts of God

Government actions

System failures
-
Third-party disruptions
19. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
20. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties and supersede any prior agreements or understandings.
